Whether negotiating the acquisition of a multi billion dollar company or assisting a small start-up company, corporate lawyers are involved in advising businesses on their numerous legal rights, responsibilities, and obligations. General corporate practice involves handling a wide range of legal issues for businesses.
The corporate sector in India has witnessed immense growth at a very rapid speed. Currently, the corporate sector is the backbone of the Indian economy and is contributing around 53% of the Indian GDP. The career and growth opportunities in this sector are ample which is more and more young aspirants are adopting this profession. The objective of corporate law generally involves overseeing all legal and external affairs matters including litigation, investigations, compliance, mergers and acquisitions, contract matters and international trade issues.
If we talk about role of corporate lawyers then they are tasked to safeguard the legality of commercial transactions, representing companies and advising corporate employees of their legal rights and duties. It generally focuses on how corporate and companies interact externally through commercial transactions and internally through corporate governance.
Many corporate lawyers work in law firms, particularly large or mid-size firms, where they counsel clients and handle business transactions including negotiation, drafting, and review of contracts and other agreements associated with the activities of the business, such as mergers, acquisitions, and divestitures; they also advise business clients on corporate governance and operations issues such as the rights and responsibilities of corporate directors and officers and the general oversight of the legal activities of the company. Other corporate lawyers are employed directly by corporations as in-house corporate counsel. In-house counsel act as internal advisers on myriad business and legal issues, including labor and employment issues, intellectual property issues, contractual issues, and liability issues.
Most of the peoples still confused that what corporate lawyer do or what type of cases they do work on, as obviously the work of corporate lawyer is totally different and have of standard. A large percentage of work involves representing financial institutions; the remainder involves representing various kinds of corporations. They rarely represents individuals.
The corporate lawyers have very tight schedules but as a lawyer it should be good in time management. They spend most of my time in drafting and revising various agreements, talking to and meeting with clients, and negotiating with opposing counsel. Most of the time is spent in office or in the offices of opposing counsel.
The work of corporate lawyers is more intellectual then any other type of lawyer, but they enjoy it. A corporate lawyer should be sharp minded with a good intellectual skills and communication skills. Undoubtedly, communication skill is the most important skill. Corporate practice requires that attorneys have effective analytical and problem-solving skills too; In corporate practice you face problems that are very different than those on a law school exam. Your clients are relying on you for advice. You have to find out the facts and decide what’s important and not important. If you’re not analytical, you can waste time going down false paths.
